1. Acceptance of Terms
By accessing or using the MARC27 platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Platform. We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform with a revised effective date. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.
2. Definitions
PlatformThe MARC27 web application, API, CLI tools, and associated services operated by MARC27.
AccountYour registered user account on the Platform, authenticated via supported identity providers.
OrganizationA collaborative workspace on the Platform representing a team, lab, company, or research group.
ProjectAn isolated workspace within an Organization containing resources, jobs, and API keys.
ResourceAny item published to the marketplace, including ML models, datasets, plugins, MCP servers, CLI tools, HPC clusters, robot labs, and test facilities.
JobA unit of compute work submitted to the Platform for execution, including ML inference, simulations, data processing, and other supported task types.
API KeyA credential issued by the Platform for programmatic access to the API.
Your ContentAll data, files, models, datasets, code, configurations, and other materials you upload, submit, or publish through the Platform.
3. Account & Eligibility
You must be at least 16 years of age to use the Platform. If you are between 16 and 18 years of age, you may only use the Platform with the consent of a parent or legal guardian.
You are responsible for maintaining the confidentiality of your account credentials, including API keys and access tokens. You must notify us immediately of any unauthorized use of your account. You are responsible for all activity that occurs under your account.
You may not create multiple accounts to circumvent rate limits, usage quotas, suspensions, or any other Platform restrictions. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal research, development, and commercial purposes.
You may create Organizations, invite members, publish Resources to the marketplace, submit Jobs for execution, and use the API in accordance with the documentation and any applicable usage limits.
5. Acceptable Use
You agree not to use the Platform to:
- •Violate any applicable law, regulation, or third-party right
- •Upload or distribute malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to systems
- •Attempt to gain unauthorized access to the Platform, other user accounts, or connected systems
- •Reverse engineer, decompile, or disassemble any part of the Platform except as permitted by applicable law
- •Use the Platform to develop a competing service or to benchmark the Platform for publication without our prior written consent
- •Circumvent or disable any security, authentication, or access control mechanisms
- •Submit Jobs or publish Resources that contain unlawful, harmful, or deliberately misleading content
- •Interfere with or disrupt the integrity or performance of the Platform or its infrastructure
- •Use automated means to scrape, crawl, or extract data from the Platform beyond what is permitted by the API
- •Resell, sublicense, or redistribute access to the Platform without our prior written consent
We reserve the right to investigate and take appropriate action against any violation of this section, including suspension or termination of your account.
6. Your Content
You retain all ownership rights in Your Content. By uploading or publishing Your Content to the Platform, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display Your Content solely as necessary to operate and provide the Platform.
For Resources you publish to the marketplace with public visibility, you grant all Platform users a license to access and use those Resources in accordance with the license you specify at the time of publication. You are responsible for specifying the applicable license for your published Resources.
If your Resources incorporate or are derived from open source software, you must comply with the applicable open source licenses and clearly indicate the license terms. Neither party may remove or alter open source license notices.
You represent and warrant that you have all necessary rights and permissions to upload, publish, and license Your Content as described in these Terms, and that Your Content does not infringe the intellectual property or other rights of any third party.
We may remove or disable access to any Content that we reasonably believe violates these Terms, applicable law, or third-party rights. We will endeavor to notify you when we take such action, except where prohibited by law or where notification would compromise safety or security.
7. Marketplace
The Platform marketplace allows users to publish and discover Resources. All Resources undergo a review process before being listed on the marketplace. The review tier (Light, Standard, or Heavy) depends on the Resource type.
As a publisher, you are solely responsible for the accuracy, quality, and legality of your published Resources. You must provide accurate metadata, descriptions, and documentation. Misleading or fraudulent listings may result in removal and account suspension.
Resources published by third parties are provided "as is." We do not endorse, verify, or guarantee the accuracy, reliability, safety, or fitness for purpose of any third-party Resource. Your use of third-party Resources is at your own risk and may be subject to additional terms specified by the publisher.
We reserve the right to remove any Resource from the marketplace at any time, for any reason, including but not limited to quality concerns, security vulnerabilities, legal compliance, or violation of these Terms.
8. Compute & Job Execution
The Platform provides compute services through a unified job queue. Jobs are processed based on priority and resource availability. We do not guarantee specific execution times, availability, or resource allocation.
You are responsible for the content and behavior of all Jobs you submit, including any code, models, or data processed during execution. Jobs that consume excessive resources, exhibit malicious behavior, or violate these Terms may be terminated without notice.
Certain job types (such as HPC submissions, lab bookings, and simulation runs) may delegate execution to third-party infrastructure. In such cases, your use may be subject to additional terms imposed by those providers. We are not responsible for the availability, performance, or actions of third-party compute providers.
Job execution results, logs, and associated data are retained in accordance with our Privacy Policy. You acknowledge that compute resources are shared infrastructure and that absolute isolation between users cannot be guaranteed, although we implement reasonable security measures to protect your data.
9. API Keys & Security
API keys provide programmatic access to the Platform. You are solely responsible for safeguarding your API keys and for all activity that occurs through their use. API keys should be treated as sensitive credentials and must not be shared, published, or committed to public repositories.
We store only a cryptographic hash of your API keys. The full key is shown once at creation and cannot be retrieved afterward. You are responsible for securely storing your keys.
We may impose rate limits, usage quotas, and scope restrictions on API keys. We reserve the right to revoke any API key at any time if we reasonably believe it has been compromised or is being used in violation of these Terms.
10. Fees & Payment
Certain features and services may require payment. Fees, billing cycles, and payment terms will be specified on the Platform or in a separate order form. All fees are stated in US dollars unless otherwise specified.
Fees are non-refundable except where required by applicable law or where we terminate your account without cause, in which case we will provide a pro-rated refund for any prepaid, unused portion of the current billing period.
We reserve the right to modify pricing with at least 30 days' notice before the start of a new billing cycle. If you do not agree with a pricing change, you may cancel your subscription before it takes effect.
You are responsible for all applicable taxes, levies, and duties associated with your use of the Platform, excluding taxes based on our net income.
11. Intellectual Property
The Platform, including its software, design, documentation, and trademarks, is owned by MARC27 and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.
You retain all intellectual property rights in Your Content. We claim no ownership over the models, datasets, code, or other materials you upload or create on the Platform.
If you provide us with feedback, suggestions, or ideas regarding the Platform, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, and incorporate that feedback into the Platform without obligation or compensation to you.
12. AI & ML Disclaimers
The Platform hosts and executes machine learning models, simulations, and data processing workflows contributed by users and third parties. We do not guarantee the accuracy, reliability, completeness, or fitness for any particular purpose of any model output, prediction, simulation result, or processed data.
Scientific conclusions, engineering decisions, or other determinations made based on outputs from the Platform are your sole responsibility. You should independently verify any results before relying on them for research publications, engineering applications, safety-critical decisions, or regulatory submissions.
We do not use Your Content (including uploaded models, datasets, or job inputs) to train our own models or improve our algorithms without your explicit, separate consent. Aggregated, anonymized usage statistics may be collected to improve Platform performance and reliability.
The LLM proxy service routes requests to third-party AI providers. We do not control the outputs of third-party language models and disclaim all liability for their responses. Your use of the LLM proxy is subject to the applicable third-party provider's terms of service.
13. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR ITS INFRASTRUCTURE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE PLATFORM, INCLUDING THIRD-PARTY RESOURCES, MODEL OUTPUTS, OR SIMULATION RESULTS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MARC27, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER ARISING FROM CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY US DOLLARS ($50).
THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY ARISING FROM (I) FRAUD OR WILLFUL MISCONDUCT, (II) DEATH OR PERSONAL INJURY RESULTING FROM NEGLIGENCE, OR (III) ANY LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
15. Indemnification
You agree to indemnify, defend, and hold harmless MARC27 and its affiliates, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party right.
We agree to indemnify, defend, and hold you harmless from any third-party claim that the Platform itself (excluding Your Content and third-party Resources) infringes a valid patent, copyright, or trademark, provided that you promptly notify us and give us sole control of the defense.
16. Termination
You may close your account at any time through your account settings or by contacting us. Upon account closure, we will cease providing access to the Platform and, subject to our data retention obligations, delete your personal data within 90 days.
We may suspend or terminate your account at any time for violation of these Terms, with notice where practicable. In cases of severe or repeated violations, security threats, or illegal activity, we may terminate your account immediately without prior notice.
Resources you have published to the marketplace and that have been accessed or relied upon by other users may be retained in a read-only state to preserve the integrity of dependent workflows. You may request removal of such Resources, and we will make commercially reasonable efforts to accommodate such requests.
Upon termination, sections that by their nature should survive (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) will remain in effect.
17. Export Controls
You agree to comply with all applicable export control laws and regulations, including the U.S. Export Administration Regulations (EAR) and sanctions administered by the Office of Foreign Assets Control (OFAC).
You represent that you are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive trade sanctions, and that you are not designated on any restricted party list.
18. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation for a period of 30 days. If the dispute is not resolved through negotiation, it shall be submitted to binding arbitration administered by JAMS under its Comprehensive Arbitration Rules, with the arbitration conducted in English.
YOU AND MARC27 EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. This waiver does not apply where prohibited by applicable law.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
19. General Provisions
These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and MARC27 regarding your use of the Platform. They supersede all prior agreements and understandings, whether written or oral.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
Headings are for convenience only and do not affect the interpretation of these Terms. The use of "including" means "including without limitation."
